By accessing or using our Services — including submitting a waitlist request, downloading software, or entering into a commercial agreement — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Our Services are intended for business and industrial use. Use of the Services for personal, household, or consumer purposes is not permitted.
Submission of a waitlist or early access request does not guarantee access to the Services. We reserve the right to approve or deny requests at our sole discretion. Waitlist submissions do not create any contractual obligation on our part.
Where account credentials are issued (including for the Arkwright Hub or customer portal), you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use or security breach.
You agree to provide accurate, current, and complete information when registering or communicating with us, and to update such information as necessary to keep it accurate.

Subject to these Terms and any applicable commercial agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business operations during the term of your agreement.
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without obligation to you.
You retain full ownership of all data you input into or generate through the Arkwright platform, including operational data, process records, and documents ("Customer Data").
You are responsible for ensuring that your use of the Services and any Customer Data you input complies with applicable laws, including data protection regulations. You represent that you have all necessary rights and permissions to use and process any data you input into the Services.
In the event of termination, your Customer Data remains on your hardware. We have no obligation to return or delete data that we do not hold.

We may terminate or suspend access immediately, without prior notice, if you materially breach these Terms, engage in fraudulent or illegal activity, or pose a security risk to the Services or other users.
Upon termination, your licence to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, liability, and governing law) shall survive.
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English in Houston, Texas.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where required, notify you by email or prominent notice on our website.
